Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kingdom Fitness ("Kingdom Fitness," "we," "us," or "our"), governing your access to and use of our fitness facility, website at kingdomcincy.com, member portal, mobile application, and all related services (collectively, the "Services").

By accessing or using any of our Services, creating a membership account, or entering our facility, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

Acceptable Use

You agree to use Kingdom Fitness's Services only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Services in any manner that violates any applicable federal, state, local, or international law or regulation
• Interfere with or disrupt the normal operation of the gym, website, or any associated systems
• Attempt to gain unauthorized access to any portion of our systems, networks, member accounts, or facilities
• Engage in any conduct that restricts, inhibits, or discourages other members or staff from using or enjoying the Services
• Impersonate or attempt to impersonate Kingdom Fitness, an employee, another member, or any other person
• Use the Services to transmit any unsolicited communications, spam, or promotional materials
• Engage in any activity that could damage, disable, overburden, or impair our website or systems

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including reporting to law enforcement authorities.

Accounts & Registration

To access certain Services, including the member portal, class booking system, and mobile application, you will be required to register for a membership account. By creating an account, you agree to:

• Provide accurate, complete, and current information at registration and keep it updated
• Maintain the confidentiality of your account credentials, including your username and password
• Accept responsibility for all activity that occurs under your account, whether or not authorized by you
• Notify us immediately if you suspect any unauthorized use of your account

You may not share your account credentials with others or allow third parties to access the Services using your account. Membership access and benefits are personal and non-transferable unless otherwise explicitly stated in your membership agreement.

Kingdom Fitness reserves the right to suspend or terminate your account for violations of these Terms, suspected misuse, inactivity, or for any operational reason at our discretion.

Membership & Billing

Membership fees, class fees, day pass purchases, and any other charges associated with the Services are processed through Club Automation, our third-party gym management and billing platform.

By enrolling in a membership or authorizing a purchase, you agree to:

• Provide valid, accurate, and up-to-date payment information
• Authorize Kingdom Fitness and Club Automation to charge your payment method for applicable fees on a recurring basis where applicable
• Update your payment information promptly if it changes or expires

Kingdom Fitness does not directly store full payment card numbers or sensitive payment credentials. All payment data is handled by Club Automation and their payment processor partners in accordance with applicable security standards.

We are not responsible for errors, outages, duplicate charges, or failures caused by third-party payment processors. For billing disputes related to Club Automation's processing, you may need to contact Club Automation directly in addition to reaching out to us.

Cancellation and refund policies are governed by the terms of your specific membership agreement. Please contact us with any billing questions.

Third-Party Platforms

Kingdom Fitness uses and integrates with third-party platforms, including Club Automation for membership management, billing, class scheduling, and the associated mobile application. Your use of these platforms is subject to their own separate terms, conditions, and privacy policies.

• Kingdom Fitness does not control and is not responsible for the functionality, availability, accuracy, or security practices of third-party platforms
• We may suspend, modify, or discontinue features that rely on third-party platforms at any time without prior notice
• Any disputes arising from your use of third-party platforms should be directed to those platforms directly

Links or references to third-party websites or services do not constitute an endorsement. We encourage you to review the terms and privacy policies of any third-party platforms you use in connection with our Services.

Facility Rules & Conduct

All members and guests must comply with Kingdom Fitness's posted rules, safety guidelines, and staff instructions at all times while using the facility. These rules exist to ensure a safe, clean, and respectful environment for everyone.

Examples of conduct that may result in immediate removal or membership termination include, but are not limited to:

• Behavior that is unsafe, threatening, harassing, or disruptive to other members or staff
• Unauthorized entry or access to restricted areas
• Misuse or abuse of gym equipment
• Failure to comply with posted hygiene or cleanliness standards
• Any conduct that violates applicable laws

We reserve the right to deny facility access or terminate membership for any behavior deemed inappropriate at our sole discretion, with or without prior warning.

Assumption of Risk

Physical exercise and use of fitness equipment involve inherent risks, including the risk of personal injury. By using Kingdom Fitness's facilities and equipment, you acknowledge and accept these risks.

You represent that you are physically capable of participating in physical fitness activities and that you have not been advised by a medical professional to avoid such activities. If you have any health concerns or conditions, we encourage you to consult a healthcare provider before beginning any exercise program.

You assume full responsibility for any injury, illness, or loss that may result from your use of the facility or equipment, except to the extent caused by our own gross negligence or willful misconduct.

Intellectual Property

All content on our website, mobile application, and marketing materials — including but not limited to logos, brand marks, text, graphics, images, photographs, and software — is owned by or licensed to Kingdom Fitness and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not:

• Reproduce, copy, distribute, republish, or publicly display any content without prior written permission from Kingdom Fitness
• Modify, create derivative works of, or commercially exploit any content
• Remove or alter any copyright, trademark, or other proprietary notices
• Use our brand, logos, or trademarks in any manner that suggests endorsement or affiliation without written consent

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Kingdom Fitness disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or free of viruses or harmful components
• Warranties regarding the accuracy, reliability, or completeness of any information provided through the Services

Some jurisdictions do not allow exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

To the fullest extent permitted by applicable law, Kingdom Fitness and its owners, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.

This includes, without limitation:

• Personal injury or property damage sustained while using the facility or equipment
• Service interruptions, system outages, or loss of access
• Errors, failures, or security incidents involving third-party platforms such as Club Automation
• Loss of data, unauthorized access to your account, or damage resulting from malware
• Any other matter arising out of or related to your use or inability to use the Services

In no event shall our total aggregate liability to you for all claims exceed the total amount paid by you to Kingdom Fitness in the twelve months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Kingdom Fitness, its owners, managers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Services or facility
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any injury or damage you cause to another person or property while using the Services
• Any content or information you submit, post, or transmit through the Services

Termination

Kingdom Fitness reserves the right to suspend or terminate your access to the Services, with or without notice, for any reason including:

• Violations of these Terms or our facility rules
• Non-payment of membership fees or outstanding balances
• Conduct deemed unsafe, disruptive, or inappropriate
• Operational, business, or legal reasons at our discretion

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Hamilton County, Ohio. By using our Services, you consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, applicable law, or for other operational reasons. When we do, we will update the "Last Updated" date at the top of this page.

Your continued use of the Services after any updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Services.
